About the Role
We are seeking a highly visible, collaborative AVP-level professional to serve as the backbone for all proposed, active, and completed Mergers and Acquisitions (M&A) tax projects. This is a key position dedicated to supporting the development of individually customized transactional risk products. These products facilitate complex transactions such as M&A, divestitures, and equity fund deals, specifically protecting participants from tax opinion risks arising in connection with the underlying deals.
In this role, you will navigate intricate tax landscapes, including purchase price allocation (IRC Section 1060), Section 1231 gains, Section 197 issues, and S Corp targets with Section 338(h)(10) elections. You will manage post-transaction filing elections, financing structuring issues involving foreign debt and interest stripping rules, and the handling of tax attribute carryovers like Net Operating Losses. Your expertise will be critical in determining deductible transaction costs, managing accrued liabilities, and executing tax basis asset revaluations.
