About the Role
We are seeking a highly experienced Vice President to join our Representation and Warranty (R&W) Insurance underwriting team in Houston, TX. This is a highly visible position within a global insurance company, designed to bring together top legal and finance minds to develop custom policies for buyers, sellers, and passive investors.
The role focuses on mitigating risks associated with mergers and acquisitions, including unintentional breaches of representations and warranties, covenant breaches, and special indemnities. You will work closely with owners, investors, attorneys, and finance executives to assess transaction parties, identify anomalous risks (such as changing technology, market forces, and regulatory issues), and negotiate key terms like escrow, indemnity limits, and retention.
