About the Role
Medline is seeking a Legal Counsel for Corporate Governance and Securities to serve as a specialized partner to the VP, Deputy General Counsel, and Corporate Secretary. This role is pivotal in maintaining the integrity of our Board and Committee operations while navigating the complexities of securities law and public disclosure.
You will act as a strategic advisor, collaborating closely with the Corporate Secretary and cross-functionally with compensation, audit, external reporting, accounting, finance, and investor relations teams. The position requires a proactive attorney who can balance legal precision with business objectives, ensuring our governance practices align with evolving market trends and regulatory requirements.
Day in the Life
Your work will span the full lifecycle of corporate governance. You will prepare, review, and distribute materials for Board and Committee meetings, draft resolutions, and maintain meticulous minute books. Beyond meeting logistics, you will lead significant governance outreach efforts to key investors and proxy advisors, ensuring clear communication of complex topics.
A substantial portion of your time will be dedicated to securities compliance, including the management of insider trading policies, Rule 10b5-1 trading plans, and the preparation of critical SEC filings such as Forms 8-K, 10-Q, and 10-K. You will also play a key role in planning and executing the Company's annual stockholders meeting, managing everything from proxy distribution to logistics.

Requirements
