About the Role
This position offers the opportunity to work directly with founders, angel investors, and VC funds across high-growth industries. You will join a collaborative, team-based practice with attorneys who have deep startup and emerging company backgrounds. The role is designed for those who thrive in a hybrid remote environment while engaging with complex, high-stakes transactions.

Key Responsibilities
- check_circleAdvise startups and emerging companies on formation, equity structure, and corporate governance
- check_circleHandle venture financings including SAFEs, convertible notes, and priced equity rounds
- check_circleDraft and negotiate equity compensation plans including stock options, restricted stock, and RSUs
- check_circleCounsel clients on federal and state securities law compliance
- check_circleAdvise on licensing, commercial contracts, software licenses, and IP transactions
- check_circleRepresent angel investors and venture capital funds in financing transactions
- check_circleManage cap tables and support clients through due diligence processes
- check_circleSupport M&A, acqui-hire transactions, and exit strategies
Requirements
