Key Responsibilities
- check_circleAssist in structuring, negotiating, and documenting mergers, acquisitions, divestitures, and joint ventures
- check_circleAdvise clients on federal and state tax implications of business transactions and entity selection
- check_circleDraft and review transaction documents including stock purchase agreements and merger agreements
- check_circleConduct tax and corporate due diligence to identify and analyze potential risks
- check_circleCollaborate with attorneys in corporate, real estate, and estate planning to provide integrated legal solutions
- check_circleSupport tax planning for closely held businesses, owners, and executives
- check_circleStay current on developments in tax and corporate law affecting transactional planning
Requirements
- verifiedJ.D. from an ABA-accredited law school
- verified2–6 years of relevant experience in tax law, M&A, or corporate transactions
- verifiedActive membership in good standing with The Florida Bar (or ability to become admitted promptly)
